Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by APIndex ("we," "us," or "our") (collectively, the "Services"). By creating an account, submitting information, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

You represent that you are at least 13 years old and, if you are using the Services on behalf of an organization, that you have authority to bind that organization. We may update these Terms from time to time; we will post the revised Terms and update the "Last updated" date above. Continued use after changes become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

2. Description of Service

APIndex provides a platform for storing, displaying, and sharing verified athletic performance data collected under standardized testing protocols by qualified practitioners. Features may include athlete profiles, practitioner tools, and recruiter-facing access, as we make them available.

  • Athletes. Core athlete profile and display features are offered at no charge to athletes, subject to these Terms.
  • Practitioners. Access to practitioner features is subscription-based; fees and billing terms are presented at signup or in separate agreement or order flows.
  • Recruiters. Recruiter access may also be offered on a paid or subscription basis, as described when you enroll.

3. User Accounts & Roles

The Services use role-based accounts, such as athlete, practitioner, and recruiter. Your role determines what actions you can take in the platform. You must provide accurate registration information and keep your credentials secure. You are responsible for activity that occurs under your account and for the accuracy of information you supply about yourself, except where performance metrics are recorded by practitioners pursuant to our protocols.

4. Practitioner Responsibilities

If you participate as a practitioner, you agree that you will:

  • Maintain valid, current professional credentials consistent with our eligibility requirements;
  • Administer tests using APIndex standardized protocols and record results honestly;
  • Not submit fraudulent, fabricated, or knowingly inflated results, or represent estimated, simulated, or non-test values as if they were verified in-person test results obtained under our standards.

We may suspend or terminate practitioner access for violations or for risk to athletes or the integrity of the platform.

5. Athlete Data & Profiles

  • Verified performance information may appear on public athlete profiles that can be viewed by anyone who has the link or access we provide.
  • Athletes may request removal or other changes to their profile by contacting support as described in our Privacy Policy and the Contact section below. We will process requests consistent with applicable law and technical feasibility.

6. Prohibited Conduct

You agree not to:

  • Misrepresent your identity, credentials, or affiliation;
  • Provide false credentials or assist others in doing so for access to the Services;
  • Manipulate, falsify, or attempt to alter test results or the verified record;
  • Use bots, scrapers, or automated means to collect data from the Services in bulk without our prior written consent;
  • Impersonate another person, athlete, practitioner, or organization;
  • Interfere with or disrupt the Services or circumvent security or access controls.

7. Intellectual Property

The Services, including software, designs, trademarks, logos, and other content we provide (excluding user-submitted content), are owned by APIndex or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services according to these Terms.

As between you and APIndex, you retain ownership of your own performance metrics and personal content you submit, subject to the license you grant us to host, display, and distribute that content through the Services as intended (for example, showing verified results on a public profile).

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA OR RESULTS WILL MEET YOUR RECRUITING, TRAINING, OR OTHER GOALS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER APINDEX NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIMITATION IS PROHIBITED BY LAW.

10. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. You agree that the state and federal courts located in Ohio will have exclusive jurisdiction over disputes arising from these Terms or the Services, subject to mandatory arbitration or venue rules that cannot be waived by contract in your jurisdiction.
